About Exumpay

Exumpay is a business-to-business technology company providing software solutions and IT infrastructure to online businesses.

The Company develops and provides proprietary software that enables its clients to integrate with third-party payment service providers and financial institutions selected and contracted directly by such clients. Its technology facilitates the technical transmission of transaction-related data between the client's online systems and such third-party service providers and provides related software functionalities, including transaction reconciliation, reporting, analytics and technical integration.

Exumpay acts solely as a technology and software service provider. It does not provide payment services, merchant acquiring, payment aggregation, money transmission, remittance, settlement or other financial services. The Company does not receive, hold, control, transfer or settle client or customer funds at any stage. All payment processing and settlement services are provided directly to the relevant merchant by its independently contracted and appropriately authorised payment service provider, acquirer or financial institution.

Use of Services

You may use the Services only in accordance with these Terms and all applicable laws. You agree not to use the Services for unlawful, fraudulent, or abusive purposes, and to ensure that all integrations and merchant relationships comply with these Terms.

Registration and Access

Certain Services require registration and an active account. You must provide accurate details when registering and maintain confidentiality of your credentials. You are responsible for all activity under your account.

Fees and Payment

Fees may be structured as subscription, licence, or transaction-based charges. All fees are non-refundable unless stated otherwise in writing. We may suspend or restrict access if payment is overdue. You are responsible for applicable taxes.

Intellectual Property

All intellectual property rights in the platform, software, and documentation remain the property of Exumpay. You are granted a limited, non-exclusive licence to use the platform and its white-label features for your business use. You may rebrand the platform but this does not grant ownership of underlying technology.

Data Protection and Security

Exumpay maintains PCI DSS compliance and provides a secure environment for payment data processing. You are responsible for lawful handling of personal data. Exumpay takes reasonable measures to protect data but cannot guarantee absolute security.

Prohibited Activities

You agree not to use Exumpay's Services for illegal transactions, high-risk sectors without authorisation, interference with system functionality, or uploading malicious code.

Service Availability and Disclaimer

The Services are provided "as is" and "as available" without warranties of any kind. Exumpay disclaims all warranties including merchantability and fitness for purpose. We may suspend or modify the Services for maintenance or security reasons.

Limitation of Liability

Exumpay shall not be liable for indirect, incidental, or consequential loss. Our total liability shall not exceed the total amount of fees paid by you in the 12 months preceding the event giving rise to the claim.

Indemnity

You agree to indemnify Exumpay from any claims, losses, or damages arising from your misuse of the Services, violation of law, or breach of these Terms.

Termination

We may suspend or terminate your access if you breach these Terms, fail to pay fees, or engage in harmful activity. Upon termination, your right to use the Services ceases immediately.

Changes to the Terms

We may update these Terms at any time by posting an updated version on our website. Continued use constitutes acceptance of any changes.

Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the Courts of Dubai.

General Provisions

If any provision is found invalid, the remainder shall remain in effect. These Terms constitute the entire agreement between you and Exumpay regarding the Services.
